Terms and Conditions of Service

By using the ProjectMatch website, content or related services (“Services”), you agree that you have read and will comply with these terms and conditions and any related policies (“Terms”). Purchase of any ProjectMatch Service constitutes agreement to the Terms.

 

1. Definitions

Company: ProjectMatch Ltd.

Employer: an organisation who uses the Services to advertise a Project or Job Advert.

Student: any student enrolled on a course attending a University.

Project: a posting made by the employer outlining a piece of research, a short project or work experience suitable for a Student as advertised on the Website. 

Request: a posting made by the student outlining a piece of research, a short project or work experience suitable for an Employer as advertised on the Website. 

Job Advert: an individual advert for a job role posted by an Employer. 

Website: the Website and associated app and/or content.

User Content: any content (including but not limited to, text, images, audio, video material) submitted to the Website by an Employer or Student whether publicly or within any chat function, for whatever purpose.

2. Our Services, Memberships and Fees

We are ProjectMatch Ltd, company number 13408532, registered office address Cornfields, Pegsdon, Hitchin, Bedfordshire, SG5 3JX. 

Our Service enables matches between Students and Employers. Employers post Projects on the Website and Students can apply for these by sending a proposal. If an Employer likes a Student, they can choose to match with the Student. This opens a chat function, at which point the Student and Employer can continue to discuss the Project. Students post Requests on the Website and Employers can register their interest in partnering with the Student. This opens a chat function, at which point the Student and Employer can continue to discuss the Request

Employer Partner – Annual Membership: this is a full year membership ((i.e., 15th November 2023 – 14th November 2024) to the Services for an Employer. This allows a registered member of staff of the Employer organisation to access and use the Services with all its relevant features. This membership includes the posting of an unlimited number of Projects. 

PhD Partner – Annual Membership: this is a full year membership (i.e., 15th November 2023 – 14th November 2024) to the Services for a PhD level Student. This allows the Student to access and use the Service with all its relevant features. This membership includes the posting of an unlimited number of Requests. 

Postgraduate Partner – Annual Membership: this is a full year membership (i.e., 15th November 2023 – 14th November 2024) to the Services for a PhD level Student. This allows the Student to access and use the Service with all its relevant features. This membership includes the posting of an unlimited number of Requests.

Undergraduate Partner – Annual Membership: this is a full year membership (i.e., 15th November 2023 – 14th November 2024) to the Services for a PhD level Student. This allows the Student to access and use the Service with all its relevant features. This membership includes the posting of an unlimited number of Requests.

Job Advert: this allows an Employer to post a single Job Advert on the Website. This advert can remain live for up to one year. Employer’s do not need to have an Employer Partner – Annual Membership, but do need to register a for a free account to create the Employer profile.

3. Payment Terms

Full payment is to be made in GBP (£), at the time of registration. Payments can be made directly on the Website, by Credit or Debit Card, by following the checkout process. BACS payments can also be made using the ProjectMatch details below:

All Annual Memberships and Job Adverts must be paid in full at the start of the Service.

4. Renewal

Each Annual Membership is renewed automatically unless the Employer or Student cancels their membership before their renewal date. Renewal reminders will be sent to those with an Annual Membership 1 month (or 30 days, whichever is longer) ahead of the renewal date. Payment for the new year’s membership must be received by us by the last day of the live membership, to ensure continual platform access is maintained. Where payment can be demonstrated to be ‘in progress’ by the Employer or Student, it will be entered into a Grace Period.

5. Grace Period

If by the final day of the live membership, the Employer or Student can evidence payment for renewal membership has been progressed (evidence includes confirmation email from organisation finance officer, screen shot of finance system approval etc.) the member will have uninterrupted access to the ProjectMatch platform for a further 1 month (or 30 days, whichever is longer). If payment has not been received after this point, platform access for the organisation will be removed. 

6. Re-Advertising

If a match has been agreed by both Employer and Student this is considered final. Other applications for the same Project may be rejected by the Employer, and other registers of interest for the same Request may be rejected by the Student. 

Any Project published by the Employer may be re-advertised on the Website while the Employer membership is still valid. Any Request published by the Student may be re-advertised on the Website while the Student membership is still valid. 

The Company does not guarantee that any applications made by Students that were withdrawn upon acceptance of one application will still be available or on offer if a Project is re-advertised after having been matched.

7. Cancellation

Cancellation of an Employer Partner – Annual Membership, PhD Partner – Annual Membership, Postgraduate Partner – Annual Membership or Undergraduate Partner – Annual Membership must be requested within 14 days of the membership start date to obtain a full membership refund. Cancellations after this date will receive no refund. Upon a confirmed cancellation request, the Employer or Student will no longer have access to the ProjectMatch Services.

8. User Content

The Company reserves the right to review, copy, and download any User Content for Company use, but this will be considered confidential, unless used as evidence of any breach of agreement or other legal or regulatory considerations.

Any Employer or Student posting User Content warrants and represents that its User Content will comply with these Terms. 

Any User Content will not be illegal or unlawful, will not infringe any third party’s legal rights, and will not be capable of giving rise to legal action (under any applicable law). 

User Content will not:

a. be libellous or maliciously false;

b. be obscene or indecent;

c. infringe any copyright, moral right, database right, trademark right, design right, right in passing off, or other intellectual property right;

d. infringe any rights of confidence, right of privacy, or right under data protection legislation;

e. constitute negligent advice or contain any negligent statement;

f. constitute any incitement to commit a crime;

g. be in contempt of any court, or in breach of any court order

h. be in breach of any racial or religious hatred or discrimination legislation;

i. be in breach of official secrets legislation;

j. be in breach of any contractual obligation owed to any person;

k. be pornographic or sexually explicit;

l. depict violence;

m. be untrue, false, inaccurate or misleading;

n. constitute spam;

o. be offensive, deceptive, threatening, abusive, harassing, or menacing, hateful, discriminatory, or inflammatory; or

p. cause annoyance, inconvenience or needless anxiety to any person.

User Content must be appropriate, civil, tasteful, and accord with generally accepted standards of etiquette and behaviour in business discussions.

The Website must not be used to link to any website or webpages consisting or containing material that would breach these conditions were it posted directly on our Website.

We reserve the right to edit or remove any material submitted to our Website, stored on our servers, or hosted or published on our Website.

You acknowledge that notwithstanding our rights under these terms and conditions, we do not undertake to monitor, edit or approve the submission of User Content or the publication of such content on our Website. 

Any User Content that is reported to us for breaching any of these terms and conditions will be investigated. The Company alone will make the final decision if any content has breached these terms and conditions, and reserves the right to edit or remove any content without further contact with the user. The Company reserves the right to remove any user that has breached these terms and conditions without explanation, or prior knowledge of the user. 

9. Confidentiality and Non Circumvention

All users shall keep in strict confidence all technical or commercial know-how, specifications, inventions, processes, or initiatives which are of a confidential nature that have been disclosed by the Company, its employees or suppliers. The receiving party shall restrict disclosure of such confidential information to its employees, agents or subcontractors as need to know for the purpose of discharging its obligations under this agreement. 

The Company does not require any Employer or Student to sign any separate non-disclosure agreement in relation to an individual Project or Request, but any information found on the Website must not be disclosed to anyone outside those needed to post a Project or Request. 

Employers and Students will not, and will not seek to, and shall procure that their respective members, officers and employees will not, and will not seek to, make an approach to, or otherwise seek to advertise opportunities similar to those advertised on the Website, or interact or work with each other in relation to similar opportunities,  (thereby avoiding the Website and the payment of fees to the Company in relation to advertising opportunities)  except in accordance with this agreement.

10. Anit-Bribery and Anti-Corruption

All users must at all times comply with all applicable laws, statutes, regulations and codes relating to anti-bribery and anti-corruption.

11. Intellectual Property (IP)

The ProjectMatch Website and its related software are the intellectual property of and are owned by ProjectMatch Ltd. The structure, organisation, and code of the website and related software contain valuable trade secrets and confidential information of ProjectMatch Ltd. 

We do not stipulate and cannot enforce any IP arrangements based on the Project or Request itself, including the project methodology, data collected, resulting report or any resulting IP created as a result of the project. Any considerations or requirements for IP regarding the project itself must be discussed and agreed directly between the Employer and Student. 

Any content posted on the Website by the users is licensed to us while that content remains live.

12. Data Protection

We will only use your personal information as set out in our Privacy Notice.

 

13. We may Change, Suspend or Withdraw our services

We We make no guarantee about the availability of the Services.  The Services are provided on an “as is” basis and without any kind of warranty. 

We may update and change our Services from time to time to reflect changes to our business operations, our products or our users’ needs. 

We do not guarantee that our Website, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Services for business and operational reasons or if we find content objectionable, in violation of these Terms, or otherwise harmful to the Services or our users. We will try to give you reasonable notice of any suspension or withdrawal.

14. Responsibility for Loss of Damage

We exclude all implied conditions, warranties, representations or other terms that may apply to our Services or any content provided by them.

We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with use of, or inability to use, our Services; or use of or reliance on any content displayed on our Services.

We will not be liable for:

  • loss of profits, sales, business, or revenue;
  • business interruption;
  • loss of anticipated savings;
  • loss of business opportunity, goodwill or reputation; or
  • any indirect or consequential loss or damage.

15. Other Considerations

ProjectMatch Ltd does not, in anyway, guarantee that a Project or Request will receive applications or interest by other users. ProjectMatch Ltd does not, in anyway, guarantee that a Project or Request will be matched or that a partnership between any Student and any Employer will be made. 

ProjectMatch Ltd does not, in anyway, vouch for or guarantee the quality of the work carried out by any Student. Any issues or complaints about the work carried out once agreed to must be taken up directly with the Student and/or their supervisor at the relevant University.

Users shall not, without our prior written consent, sublicense, assign, transfer, charge or sub-contract   any of its rights or obligations under these Terms to any third party, whether with or without consideration, without our prior written consent. 

If any provision or part-provision of these Terms is or becomes invalid, illegal or unenforceable, it shall be deemed deleted, but that shall not affect the validity and enforceability of the rest of these Terms. 

No failure or delay by us to exercise any right or remedy provided under these Terms or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy. 

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. 

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).
